MJH advising Shoper S.A. and the Selling Shareholders in the IPO process

MJH was the legal advisor to Shoper S.A. and the Selling Shareholders in the IPO process of Shoper – i.e in the initial public offering of Shoper’s shares and their admission and introduction to trading on a regulated market operated by WSE.

IPO amounted to over PLN 363 million and was one the largest IPOs in the last year. IPO attracted great interest - the reduction in the individual investors' tranche was on the level of 92.5%. The trading on the WSE started on 9 July 2021.

The Offering comprised approximately 27.1% of the existing shares of Shoper S.A., including approximately 2.5% under a stabilization option. The sellers of the shares were the Company's current shareholders, i.e. the private equity fund V4C POLAND PLUS FUND S.C.A. SICAV FIAR., Modhaus sp. z o.o. , KFF S.a r.l., Krzysztof Krawczyk and Rafał Krawczyk

Shoper S.A. is the owner of Poland's most popular e-commerce platform for running an online shop on the SaaS (Software as a Service) model. The Company offers a complete e-commerce ecosystem for small and medium-sized companies, large enterprises and public administration.

MJH provided a comprehensive legal advice to Shoper on the transaction. Apart from direct works on the IPO, the scope of work included also a complex corporate support to Shoper and the Selling Shareholders in preparing the Company for listing as well as support in preparation of ESOPs.

The transaction was led by Dr. Krzysztof Haładyj (Partner) with a team consisting of Paweł Cyganik (Senior Counsel), Justyna Wigier (Senior Associate), Wojciech Grabowski (Senior Associate) and other MJH lawyers. Paweł Moskwa (Partner) was supervising the works for Shoper.
