bio:

Dr. Krzysztof Haładyj heads our corporate finance department. Krzysztof has almost 20 years of experience, including 8 years as a partner in international law firms heading and co-heading the corporate finance departments there. In his practice, Krzysztof focuses on civil and corporate law advising in particular on matters relating to the financial markets.

He regularly advises on financing projects (including securities issuance) as well as on Public M&A transactions and restructuring projects. He also assists Clients on corporate governance issues.

He is recommended as a „highly regarded” lawyer by IFLR1000, Legal 500 EMEA and Chambers Europe. Since 2008, he serves as a lecturer at the Faculty of Economics at the University of Warsaw. He is an author of, among others, the Commentary to the Act on Public Offering and the monography „Liability of issuers for the breach of their disclosure obligations”; he is also a co-author of the Commentary to the Polish Civil Code (red. K. Osajda).

  • Ronson Development – advising on conversion into a Societas Europaea and on subsequent transfer of registered seat to Poland;
  • PKN Orlen – advising on the acquisition of 100% of shares in Unipetrol a.s. and subsequent delisting from the Prague Stock Exchange;
  • Alior Bank – advising on the acquisition of 100% of shares in Money Makers TFI and subsequent delisting from the Warsaw Stock Exchange;
  • AmRest – assistance in M&A projects in Poland, France and Spain;
  • Capita IRG Trustees – assistance in introducing the shares of Work Service to trading on the Warsaw Stock Exchange;
  • JSW – assistance to the Supervisory Board in the process of raising financing for the acquisition of the Knurów-Szczygłowice coal mine and in subsequent restructuring.
